Terms of Service

1. Agreement to Terms

By accessing or using RelayKit ("Service"), operated by Spontom Enterprises Private Limited ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

RelayKit is a multi-tenant B2B video infrastructure platform that provides real-time video, audio, and recording capabilities through APIs, SDKs, and a management dashboard. The Service includes:

  • Video room creation and management APIs
  • Participant token generation and authentication
  • Meeting recording and storage
  • Usage analytics and billing
  • Webhook event notifications
  • JavaScript and React SDKs

3. Account Registration

To use the Service, you must create an account with a valid email address. You are responsible for maintaining the confidentiality of your account credentials and API keys. You agree to notify us immediately of any unauthorized use of your account.

4. API Keys and Security

API keys are confidential credentials. You must:

  • Keep API keys secure and never expose them in client-side code
  • Revoke compromised keys immediately through the dashboard
  • Not share API keys with unauthorized parties
  • Use server-side token generation for participant access

We are not responsible for unauthorized access resulting from your failure to protect your credentials.

5. Pricing and Payment

The Service offers multiple pricing tiers as displayed on our pricing page. By subscribing to a paid plan, you agree to:

  • Pay the subscription fee for your selected plan
  • Pay overage charges for usage exceeding your plan's included minutes
  • Provide accurate billing information
  • All amounts are in USD and exclusive of applicable taxes

Billing cycle: Monthly, starting from the date of subscription. Invoices are generated at the end of each billing period.

Overage: Usage beyond included minutes is billed at the per-minute overage rate for your plan. On the Free plan, new connections are blocked when the minute quota is exceeded.

6. Refund Policy

Subscription fees are non-refundable except in the following cases:

  • Service outage: If the Service is unavailable for more than 24 continuous hours due to our fault, you may request a pro-rata credit for the affected period
  • Billing error: If you are incorrectly charged, we will issue a full refund for the erroneous amount within 30 days
  • First-time subscribers: If you cancel within 7 days of your first paid subscription and have used less than 10% of your included minutes, you may request a full refund

7. Usage and Participant Minutes

A "participant minute" is defined as one participant connected to a video room for one minute. Usage is calculated per participant, per minute, rounded up to the nearest minute per session. For example, if 5 participants join a 10-minute meeting, that is 50 participant minutes.

8. Recording and Storage

Meeting recordings are stored in the S3-compatible storage configured by the tenant. If no custom storage is configured, recordings are stored in our managed storage. You are responsible for:

  • Obtaining consent from meeting participants before recording
  • Complying with applicable data protection and privacy laws
  • Managing retention and deletion of recordings in your storage

9. Acceptable Use

You may not use the Service to:

  • Violate any applicable law or regulation
  • Transmit harmful, abusive, or illegal content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Resell or redistribute access without authorization
  • Use the Service for surveillance without consent

10. Service Level

We strive for 99.9% uptime but do not guarantee uninterrupted availability. Scheduled maintenance will be announced in advance when possible. We are not liable for downtime caused by third-party services, force majeure, or your infrastructure.

11. Limitation of Liability

To the maximum extent permitted by law, Spontom Enterprises Private Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.

Our total liability for any claim arising from these Terms shall not exceed the amount paid by you to us in the 12 months preceding the claim.

12. Termination

Either party may terminate this agreement at any time. Upon termination:

  • Your access to the Service will be revoked
  • Active API keys will be deactivated
  • Data will be retained for 30 days, then permanently deleted
  • Outstanding invoices remain payable

13. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Hyderabad, Telangana, India.

14. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email. Continued use of the Service after changes constitutes acceptance of the updated Terms.
